Terms of Service
These terms govern your use of this website and, where a separate order form is signed, the BrokerOS platform. They are written to be read, not to be survived.
01Purpose
These terms set out the conditions on which TRUDO TECHNOLOGIES LTD makes this website and the BrokerOS platform available. They apply to every visitor to the website, and to every organisation that accesses the platform under an order form or subscription agreement.
Where a signed order form, master services agreement or data processing agreement conflicts with these terms, that signed document takes precedence for the customer who signed it. These terms continue to govern everything the signed document does not address.
02Identification of the provider
The website and the platform are operated by TRUDO TECHNOLOGIES LTD, a company incorporated in the Republic of Seychelles, with registered address at 306 Victoria House, Victoria, Mahé, Seychelles. Contact email: sales@brokeros.tech.
BrokerOS is a product of TRUDO TECHNOLOGIES LTD. References in these terms to "we", "us" and "our" mean TRUDO TECHNOLOGIES LTD.
03Acceptance and changes
Using this website means you accept these terms. If you do not accept them, do not use the website.
We may change these terms. The version in force is the one published here, and the date it was last changed appears at the top of this page. Where a change materially affects a customer under an active subscription, we give notice by email to the administrative contact on the account before the change takes effect.
04Definitions
"Platform" means the BrokerOS software, including Atlas and the agents, made available under a subscription.
"Customer" means an organisation that has entered into a subscription for the Platform. "Customer Data" means data belonging to the Customer or to the Customer's own clients that the Platform reads, holds or writes, including trading records, payment records, support records, identity documents and ledger entries.
"Agent" means an autonomous software component that reads Customer Data from Atlas and performs actions within limits the Customer configures. "Autonomy Level" means the setting, per function, that determines whether an Agent may observe only, recommend, act on approval, or act autonomously within a defined threshold.
05Access and use of the website
The website is provided for information. We may change, suspend or withdraw any part of it without notice, and we do not warrant that it will be available uninterrupted or error free.
Nothing on this website is an offer capable of acceptance, a binding quotation, or a commitment to provide the Platform on any particular terms. Pricing is quoted following a scoping call and confirmed in an order form.
06Not financial, legal or regulatory advice
BrokerOS is a software product. It is not a regulated financial service, it does not provide investment advice, and it does not execute trades. It does not hold, receive, transmit or control client money at any time, and it is not a payment institution, a money transmitter or a custodian.
Outputs of the Platform, including findings, drafts, reconciliations and recommendations, are information for the Customer to act on. They are not legal, regulatory, accounting, tax or investment advice, and they do not constitute a determination that the Customer is or is not compliant with any obligation.
The Customer remains solely responsible for its own regulatory obligations, including authorisation, client money handling, reporting, marketing approval, complaint handling and record keeping, in every jurisdiction in which it operates.
07Customer obligations
The Customer is responsible for the accuracy and lawfulness of the credentials and data it makes available, for having the right to grant us access to those systems, and for having a lawful basis for the processing it instructs us to carry out.
The Customer is responsible for configuring Autonomy Levels and approval thresholds appropriately for its business and its regulatory position, for maintaining a named person to review actions that require approval, and for the security of its own user accounts.
The Customer must not use the Platform to carry out activity that is unlawful in any jurisdiction relevant to it, to process data it has no right to process, or to attempt to circumvent the approval controls the Platform provides.
08Prohibited conduct
You must not attempt to gain unauthorised access to the website, the Platform or any system connected to them, probe or scan them for vulnerabilities without our written consent, interfere with their operation, or use automated means to extract content at a rate that degrades service for others.
You must not reverse engineer, decompile or disassemble the Platform, nor use it to build a competing product, except to the extent that restriction is unenforceable under applicable law.
09The service, and how agents act
The Platform connects to the Customer's systems on a read basis, joins the records into a graph, and makes that graph available to Agents. Agents act in the Customer's systems only as the Customer has configured them to, and every action is recorded with the data the Agent relied on at the time.
Every function starts at an approval level at which an Agent prepares an action and a named person releases it. Movement of money to a counterparty always requires a named approver, at every Autonomy Level, and this cannot be configured away.
The Customer may change Autonomy Levels, withdraw them, or suspend any Agent at any time, and such a change takes effect on the next evaluation of that function.
10Artificial intelligence and human oversight
The Platform uses machine learning and large language models. These systems are probabilistic. They can produce output that is incorrect, incomplete or unsuitable, and their behaviour can change as models are updated.
The Platform is designed to keep a person in the loop for consequential decisions, and we recommend the Customer maintain meaningful human oversight of every function it sets to act autonomously. The Customer decides which functions warrant that oversight and at what threshold.
We do not use Customer Data to train foundation models for the benefit of other customers. Learning within the Platform operates on the Customer's own data, for the Customer's own account and cohorts, within that Customer's environment.
11Fees and invoicing
The Platform is licensed for a single recurring subscription fee covering the integration, every Agent, every entity and every seat, as set out in the applicable order form. There is no setup fee and no separate implementation invoice.
Fees are payable in advance for the billing period stated on the order form. Unless the order form says otherwise, fees exclude any withholding tax, VAT or equivalent, which is the Customer's responsibility where applicable.
12Intellectual property
The website, the Platform, Atlas, the Agents, and all associated software, models, documentation, trade marks and design are owned by TRUDO TECHNOLOGIES LTD or its licensors. A subscription grants a non exclusive, non transferable right to use the Platform for the Customer's internal business purposes for the term, and grants no other right.
Customer Data remains the property of the Customer. Configuration the Customer creates, including its own rules, thresholds and instructions to Agents, remains the Customer's. We claim no ownership of either.
Where we build a custom module or connector for a Customer, the resulting software is owned by us and licensed to the Customer under the same subscription, unless the order form expressly provides otherwise. Nothing in this paragraph gives us any right to the Customer's data or to the Customer's confidential commercial arrangements embodied in that module.
Feedback a Customer gives us about the Platform may be used without restriction and without obligation.
13Third party software and services
The Platform incorporates third party and open source components, and depends on third party infrastructure and model providers. Those components are governed by their own licences, and we pass through the benefit of any warranty we receive to the extent we are permitted to.
Third party trading platforms, payment providers and service tools referenced on this website are the trade marks of their respective owners. Naming them indicates interoperability and nothing more. It does not indicate endorsement, partnership or certification by them.
14Confidentiality
Each party must keep the other's confidential information confidential, use it only for the purpose of the engagement, and protect it with at least the care it applies to its own confidential information of like importance.
This does not apply to information that is public through no breach, was already lawfully known, is independently developed without reference to the disclosure, or must be disclosed by law or by a regulator, in which case the disclosing party gives notice where it is lawfully able to.
We do not name Customers publicly, in marketing or in sales conversations, without that Customer's prior written consent.
15Data protection
In respect of personal data within Customer Data, the Customer is the controller and we act as processor on the Customer's documented instructions. Our data processing terms are published as the Data Processing Addendum and form part of the agreement between us.
Our handling of personal data collected through this website, where we act as controller, is described in the Privacy Policy.
16Warranties and disclaimer
We warrant that we will provide the Platform with reasonable skill and care, and that we have the right to grant the rights we grant.
To the fullest extent permitted by law, and except as expressly stated, the website and the Platform are provided as is. We do not warrant that the Platform will be uninterrupted, that every finding it produces will be correct, that it will detect every issue present in Customer Data, or that its use will result in any particular financial or regulatory outcome.
Figures shown on this website that are described as estimated or projected are illustrative and are not a promise of results. Worked examples in our research writing are labelled as such and are not measurements of any Customer.
17Limitation of liability
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business or loss of goodwill, however arising.
Subject to the paragraphs above, each party's total aggregate liability arising out of or in connection with the agreement in any twelve month period is limited to the fees paid or payable by the Customer in that twelve month period.
The Customer is responsible for decisions it takes, and for actions it approves, on the basis of Platform output. Where an action was released by a named approver, responsibility for that action rests with the Customer.
18Term, suspension and termination
A subscription runs for the term stated in the order form and renews as stated there. Either party may terminate for material breach that is not remedied within thirty days of written notice, or immediately if the other becomes insolvent.
We may suspend access without liability where continued access presents a security risk, where required by law, or where fees remain unpaid thirty days after they fall due, having given notice.
On termination, access ends and we delete or return Customer Data in accordance with the Data Processing Addendum.
19Force majeure
Neither party is liable for failure to perform caused by an event beyond its reasonable control, including infrastructure or connectivity failure at a third party provider, act of a state authority, natural disaster, or armed conflict. The affected party must notify the other and use reasonable efforts to resume performance.
20Third party links
This website may link to sites we do not control. We are not responsible for their content, their availability or their handling of your data, and a link is not an endorsement.
21Assignment, severability and waiver
Neither party may assign the agreement without the other's consent, except that either may assign to an affiliate or to a successor of its business on notice.
If any provision is held unenforceable, it is severed and the remainder continues in force. A failure to enforce a right is not a waiver of it.
22Governing law and jurisdiction
These terms and any dispute arising out of them are governed by the law of the Republic of Seychelles. The parties submit to the exclusive jurisdiction of the courts of the Republic of Seychelles, without prejudice to any mandatory rights available to a consumer under the law of their country of residence.
Nothing in this section limits a data subject's rights under applicable data protection law, or the jurisdiction of a supervisory authority competent to hear a complaint.
